The Subdivision Improvement Agreement dated September 13, 2003 by and between the City of Rolling Hills and Dr. Robert Marshall is hereby amended as follows: 1. Subparagraph C of the RECITALS shall be amended to read as follows: C. The Subdivider aEreed to complete such improvements within 24-months from the date of filing said map. Tentative Parcel Map No. 23991 was filed on May 4, 1998. The 24-month time period to complete the project expired, the work had not been performed and the City and the Subdivider on May 12, 2003 amended the Agreement to clarify the work to be performed, to increase the guaranty of completion of said work and to extend the ti me period for completion for an additional 24 months to May 12, 2005. However the24-month time period has expired, the work has not been performed and the City and the Subdivider and the Subdivider's successors in interest (the two Property Owners) wish to amend the Agreement to clarify the work to be performed, to amend the guaranty of completion of said work and to extend the time period for completion for an additional 24 months from the date hereof, as specified in Section 4A of this Agreement. 2. Section 4. A. TIME OF PERFORMANCE shall be amended to read as follows: A. Subdivider shall complete the Improvements within twenty-four (24) months of this agreement but not later than July 10, 2008. A final inspection of the construction shall not be granted nor a certificate of occupancy issued for occupancy of the residence currently under construction at 18 Portuguese Bend Road, until and unless all of the improvements are completed to the satisfaction of the City. 4. Section 5. IMPROVEMENT SECURITY shall be amended to read as follows: A. On April 8, 1998 the Subdivider provided as security to the City an instrument in the amount of one hundred twenty thousand dollars ($120,000) for labor and material and one hundred twenty thousand dollars ($120,000) for faithful performance. On September 13, 2003 the Subdivider enhanced the security to a total of $200,000 for labor and material and $200,000 for faithful performance. In August of 2005, upon the sale of the 17 Portuguese Bend Road property by the Subdivider, the sum of S400,000 was placed in a holding escrow at Peninsula Escrow Co. to serve as security for the Improvements; subsequently, the corporate surety bonds previously held as security were released. \Vith this security, the form of which was approved by the City, and which remains in full force and effect pursuant to the provisions of the Escrow Instructions, the Subdivider assures faithful performance under the Agreement and this Amendment thereto and guarantees the Improvements for one year after the completion and acceptance of the Improvements against any defective workmanship or materials or any unsatisfactory performance, pursuant to Section 3 hereof. B. The improvement security is in holding escrow. The holding escrow instructions provide written assurance that the funds, and any imerest earned thereon, remain valid and available for completion of the Improvements. Should the amount held in escrow be insufficient to complete the Improvements, the Property Owners shall increase the security fund by an amount determined by the City to be necessary to complete the Improvements. C. Improvement security consisting of the Holding Escrow Instructions shall be kept on file with the City. 5. Section 12. As of execution of this Third Amendment, the work for Phase I of the project has commenced, but may,not be completed byJuly 10, 2008, and specifications for Phase II are incomplete. The City and the Subdivider and the Subdivider's successors in interest (the two Property Owners) wish to amend the Agreement to allow final inspection of the residence at 18 Portuguese Bend Road, to enhance the guaranty of completion of said work by an additional $150,000 in the event of a sale of the residence at 18 Portuguese Bend Road and to extend the time period for completion of the Improvements for an additional six months from July 10, 2008, as specified in Section 4A of this Agreement. 2. Section 4.A. TIME OF PERFORMANCE shall be amended to read as follows: A. Subdivider shall complete the Improvements within six months of this agreement but not later than January 12, 2009. A final inspection of the construction will be granted and a conditional certificate of occupancy issued for occupancy of the residence currently under construction at 18 Portuguese Bend Road, subject to the conditions that until all of the Improvements are completed to the satisfaction of the City: (i) a gas meter shall not be installed and natural gas shall not be provided to the residence at 18 Portuguese Bend Road; and (ii) the residence shall not be occupied. 4.
