PLEASE TAKE NOTICE that the Mayor of the City of Rolling Hills has called a special meeting
of the City Council to take place at 5:00 p.m. on Thursday, June 4, 2020 for the purpose of
discussing and taking action on the item listed on the agenda below.
This meeting is held pursuant to Executive Order N-29-20 issued by Governor Gavin Newsom on
March 17, 2020. All Councilmembers will participate by teleconference.

THREE GATES IN RESPONSE TO CIVIL UNREST ARISING FROM
PROTESTS AND DEMONSTRATIONS.

BACKGROUND:
On May 25, 2020, George Floyd was killed while handcuffed, lying face down on a city street during an
arrest with a Minneapolis police officer's knee on the right side of Floyd's neck for almost nine
minutes. George Floyd was African american while the arresting officer is Caucasian. The death of
George Floyd sparked protests and demonstrations all across the nation, starting in Minneapolis.
In Los Angeles County, protests and demonstrations were held in the many parts of City of Los
Angeles, Santa Monica, Hollywood, Long Beach and most led to civil unrest including looting,
property damage and assaults on police officers. On the Palos Verdes Peninsula, there was a protest at
the Trump National Golf Club in Rancho Palos Verdes on Sunday, May 31, 2020. There was another
protest in front of the Palos Verdes Estates Police Department on Monday, June 1, 2020. Both events
ended peacefully. On Tuesday, June 2, 2020, there was a small demonstration again at the Trump
National Golf Club and another protest in front of Palos Verdes Estates Police Department. Both
events on Tuesday also ended peacefully.
DISCUSSION:
Rolling Hills contracts with the Los Angeles Sheriff's Department for law enforcement along with
Rancho Palos Verdes and Rolling Hills Estates by the way of a joint contract. Lomita Station serves the
Peninsula cities. In response to the civil unrest, on the weekend of May 31, 2020, the Lomita Station
went to 12 hour shifts and cancelled all requests for time off. With a long shift, and calling on reserve
deputies, the Lomita Station was able to maintain the number of patrol units dedicated to the Peninsula
while adding officers to assist with protests and demonstrations. Lomita Station was at the Trump
National Golf Club protests and also assisted the Palos Verdes Estates' protests at the police station.
Functioning as the Police Chief to the three Peninsula cities, the Station Captain is in constant
communications with the City Manger. The Station Captain analyzes potential threats along with
intelligence reports from the Department's intel unit daily. As the civil unrest in Los Angeles County 3
escalates, the Station Captain reassured the Peninsula cities the adequacy of personnel to respond to
events on the Peninsula. Station Captain also provided his assessment of threats and considered Rolling
Hills low risk for civil unrest.
Between Sunday, May 31, 2020 and Monday, June 1, 2020, City Hall received numerous calls on safety
concerns and requested the City to place additional measures to protect the City from potential civil
unrest. Mayor Jeff Pieper also received numerous calls from the community expressing the same safety
concerns.
On Sunday, May 31, 2020, in consideration of the community's expressed safety concern, Mayor Pieper
requested deputies from the Sheriff's Department to place patrol units at each of three gates. While the
Lomita Station dedicated personnel to serve the Peninsula cities, Station Captain expressed the
Department cannot deploy resources to be stationed at any one location as the deputies are needed to
respond to calls throughout the area.
Mayor Pieper inquired the availability of private security service, the cost of service and the benefits
and risk associated with such service. Staff found that private security companies are inundated with
request for service with civil unrest occurring across the County. Staff was able to solicit cost of
services from two private security companies. The quotes are included as a part of this staff report. In
discussion with the City Attorney on Monday, June 1, 2020, the City Attorney expressed certain risks
associated with hiring armed security guards. Namely, unlike law enforcement agencies with standard
operating protocols, private security companies operate differently from company to company and has a
greater potential for wrongful shooting and or wrongful death incidents. The City Attorney advised
against hiring armed private security for several reasons; the threat level for Rolling Hills is low
according to the Sheriff's Department and the risk associated with armed security guards is high.
In an effort to alleviate the community's concern for safety and in consideration of the risk presented by
the City Attorney, Mayor Pieper proposes to allocate a budget of $25,000 for security measures at each
of the three gates and authorize the City Manager to engage private security services to place an armed
security guard at each gate with one additional guard to patrol the city between the hours of 4pm and
8am. Engage of services would only take place if the civil unrest in Los Angeles County escalates into
residential neighborhoods.
FISCAL IMPACT:
Two private security companies providing pricing for the scope of services proposed by Mayor Pieper:
Absolute International Security and Black Knight Patrol. To provide an armed security guard, Absolute
International Security proposed to charge approximately $40 per hour per guard. Black Knight Patrol
proposes to charge approximately $13 per hour per hour per guard For a seven day period, the cost of
service for Absolute International Security would be approximately $17,920 and approximately $5,900
with Black Knight Patrol. Should the City Council approve the recommended action, the City Attorney
will review the terms for services.
There is available funds in Fiscal Year 2019-2020 from the Tennis Court ADA Improvement project to
be reallocated to fund private security service at each of the gates.
RECOMMENDATION:
Staff recommends the City Council consider Mayor Jeff Pieper's proposal to allocate budget to fund
private security guards to be at each of the three access points to the City and if the civil unrest in Los
Angeles County escalates into residential neighborhoods, authorize the City Manager to engage the
services of private security guards, up to the allocation amount. 4

SERVICE AGREEMENT
This Service Agreement (“Agreement”) is made this _____ day of ______________________, 2020 (the “Effective
Date”) between City of Rolling Hills (“Client”), located at 2 Portuguese Bend Road, Rolling Hills, CA 90274 and
Absolute Security International, Inc., a California Corporation, D.B.A. Absolute International Security
(“Service Provider”) with offices located at 4255 Tyler Avenue, El Monte, CA 91731. The Client and Service Provider
are sometimes collectively referred to herein as the “Parties” and individually as a “Party”.
Client wishes to be provided with security personnel to perform security services (collectively the “Services” as
defined below) by Service Provider and the Service Provider agrees to provide the Services to the Client in accordance
with the terms and conditions of this Agreement.
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and other good and
valuable consideration, the receipt and sufficiency of which is hereby acknowledged, and intending to be legally
bound, the Parties agree as follows:
Services.
(a) The Client hereby retains the Service Provider to perform the following security Services on behalf of the
Client:
• Provide Four (4) armed security guard personnel at the Main Gate, Eastfield Gate and Crest Road
East Gate for the premises located at 2 Portuguese Bend Road, Rolling Hills, CA 90274.
• One (1) marked security vehicle with company logo will be provided.
• The Start Date of security guard personnel service is on June 4, 2020.
• Service hours are Monday – Sunday: 4PM – 8AM, 16 hours per day, 7 days a week.
Service Provider will determine the method, details, and means of performing the Services with the
consultation of the Client.
(b) The Parties acknowledge and agree that during the term of the Agreement the Services may be modified
and/or expanded from time to time upon a written agreement executed by authorized representatives of
the Parties expressly referencing this Agreement. The Parties agree that the Agreement may be modified
and/or expanded with the inclusion of further Addendums, which shall be attached to the Agreement, and
its terms are to be incorporated by reference to the Agreement.
(c) Service Provider may represent, perform services for, and contract with other additional clients, persons,
or companies as Service Provider, in its sole discretion, sees fit, provided those services do not pose a
conflict of interest with the services performed for the Client.
Fees and Expenses.
(a) Fees. As full compensation for the Services in this Agreement, the Client shall pay the Service Provider
the fees at the hourly or other applicable rates set forth on Exhibit 1 (the “Fee Schedule”). The parties
acknowledge that the Fees on Schedule 1 are broken down between various categories and adjusted on an
annual basis to reflect compliance with relevant laws and regulations , including but not limited to: (a)
routine or regular security services; (b) emergency or unscheduled services; and (c) overtime rates (d)
holiday rates (e) increases in minimum wage.

(b) Billing and payment. Service Provider shall prepare and submit an invoice to the Client via email
covering the total amount owed for Fees for the Services as agreed upon in this Agreement.
Option 1: Billing shall be on a bi-weekly basis. All invoices are payable within thirty (30) days upon
receipt (Net 30), without offset, at the address specified on the invoice.
Option 2: Billing shall be on a monthly basis. Payment is to be in advance before AIS performs Services.
All invoices are payable with fifteen (15) days upon receipt, without offset, at the address specified on the
invoice.
(c) Payment.
A late charge of one and half percent (1.5%) per month, or a lesser amount if required by applicable law,
will be added to any account balance not paid within fifteen (15) days or thirty (30) days of the invoice
date. Client agrees to reimburse Service Provider for reasonable attorney’s fees and other costs of
collection that Service Provider may incur in collecting any unpaid amounts from Client.
Warranty. The Services to be performed hereunder are professional consultation security services. Service
Provider does not warrant in any form the results or achievements of the Services provided or the resulting work
product and deliverables. Service Provider warrants that that the Services will be performed by qualified personnel
in a professional and workmanlike manner in accordance with the generally accepted industry standards and
practices. Service Provider shall comply with all statutes, ordinances, regulations and laws of all fede ral or
governments applicable to performing the Services hereunder.
The warranty set forth in this section 3 is exclusive and is in lieu of all other warranties, express, implied, statutory
or otherwise with respect to the services, work product, or deliverable provided under this agreement or as to the
results which may be obtained therefrom. Service Provider disclaims all implied warranties including, but not
limited to, the warranties of merchantability, fitness for a purpose, or against infringement. Se rvice Provider shall
not be liable for any Services or work product or deliverable provided by third party vendors identified or referred
to the Client by the Service Provider during the term of this agreement, pursuant to any statement of work or
otherwise. Client’s exclusive remedy for breach of this warrant is refund of amount paid under this agreement for
such Non-Conforming Services.
Liability. In no event shall Service Provider be liable under this Agreement to the Client for any incidental,
consequential, indirect, statutory, special, exemplary or punitive damages, including but not limited to lost profits,
loss of use, loss of time, inconvenience, lost business opportunities, damage to good will or reputation and costs
of cover, regardless of whether such liability is based on breach of contract, tort, strict liability or otherwise, and
even if advised of the possibility of such damages or such damages could have been reasonably foreseen. Subject
to the Client’s obligation to pay the fees to the Service Provider, Client’s entire aggregate liability for any claims
relating to the service or this Agreement shall not exceed the fees paid or payable by the Client to the Service
Provider under this Agreement in the twelve (12) month period immediately preceding the events giving rise to
such liability. This section shall survive the termination of the Agreement.
No action shall be brought or any claim relating to or Arising out of this Agreement more than one year after the
accrual of such cause of action, except for money due on an open account.
Cooperation of Client. Client agrees to comply with all reasonable requests of Service Provider and shall provide
Service Provider’s personnel with access to all documents and faciliti es as may be reasonably necessary for the
performance of the Services under this Agreement.

Term. This Agreement shall be valid until December 31, 2020, and shall be automatically renewed for additional
one-year terms (each a “Renewal Term”), either party notifies the other of its intent not to renew the Agreement.
(a) Termination for Breach. Either Party may terminate this Agreement at any time in the event of a breach
by the other Party of a material covenant, commitment or obligation under this Agreement that remains
uncured: (i) in the event of a monetary breach, thirty (30) calendar days following written notice thereof;
and (ii) in the event of a non-monetary breach after thirty (30) days following written notice thereof. Such
termination shall be effective immediately and automatically upon the expiration of the applicable notice
period, without further notice or action by either Party. Terminati on shall be in addition to any other
remedies that may be available to the non-breaching Party.
(1) Breach and Cure. In the event a Party is given written notice that it is in breach of this Agreement, it
shall have thirty (30) days from the date of such notice to cure its breach.
(2) In the event of termination pursuant to this section, all payments due to Service Provider prior to
termination shall be paid in accordance with this Agreement.
(b) Termination for Bankruptcy, Insolvency or Financial Insecurity. Either Party may terminate this
Agreement immediately at its option upon written notice if the other Party: (i) becomes or is declared
insolvent or bankrupt; (ii) is the subject of a voluntary or involuntary bankruptcy or other proceeding
related to its liquidation or solvency, which proceeding is not dism issed within ninety (90) calendar days
after its filing; (iii) ceases to do business in the normal course; or (iv) makes an assignment for the benefit
of creditors. This Agreement shall terminate immediately and automatically upon any determination by a
court of competent jurisdiction that either Party is excused or prohibited from performing in full all
obligations hereunder, including, without limitation, rejection of this Agreement pursuant to 11 U.S.C.
§365.
(c) Termination for Convenience. Either Party may terminate this Agreement at any time with or without
cause by giving thirty (30) days prior written notice, provided, however, that Service Provider may
discontinue its services under this Agreement immediately upon default by Client in making any
payment hereunder after Service Provider’s written demand therefor.
(d) Obligations upon Termination. Termination of this Agreement for any reason shall not discharge either
Party's liability for obligations incurred hereunder and amounts unpaid at the time of such termination.
Client shall pay Service Provider for all Services rendered prior to the effective date of termination. Upon
termination, each Party shall return the other Party’s Confidential Information that is in its possession at
the time of termination. Upon the termination of the Agreement, the Client shall promptly return to Service
Provider any equipment, materials or other property of the Service Provider relating to the terminated
Services which are in Client’s possession or control.
Insurance. The Service Provider warrants that it has a comprehensive program of insurance covering Service
Provider’s general liability and worker’s compensation insurance as required by applicable law.
Relationship of the Parties. The relationship of the Parties hereto is that of independent contractors. Nothing in
this Agreement, and no course of dealing between the Parties, shall be construed to create or imply an employment
or agency relationship or a partnership or joint venture relationship between the Parties or between one Party and
the other Party’s employees or agents. Each of the Parties is an indepen dent contractor and neither Party has the
authority to bind or contract any obligation in the name of or on account of the other Party or to incur any liability
or make any statements, representations, warranties or commitments on behalf of the other Party , or otherwise
act on behalf of the other. Each Party shall be solely responsible for payment of the salaries of its employees and
personnel (including withholding of income taxes and social security), workers’ compensation, and all other
employment benefits.

Force Majeure. Neither Party shall be liable hereunder for any failure or delay in the performance of its
obligations under this Agreement, except for the payment of money, if such failure or delay is on account of
causes beyond its reasonable control, including civil commotion, war, fires, floods, accident, earthquakes,
inclement weather, electrical outages, network failures, governmental regulations or controls, casualty, strikes or
labor disputes, terrorism, acts of God, or other similar or different occurrences beyond the reasonable control of
the Party so defaulting or delaying in the performance of this Agreement, for so long as such force majeure event
is in effect. Each Party shall use reasonable efforts to notify the other Party of the occurrenc e of such an event
within five (5) business days of its occurrence.
Claims and Actions. Client shall give Service Provider written notice, by registered or certified mail, of any
claim or potential claim arising out of or relating to this Agreement within thirty (30) days following the date of
the occurrence giving rise to such claim or pote ntial claim. Such notice shall contain sufficient information
relating to the time, place, nature and extent of such claim or potential claim to enable Service Provider to be
properly advised and make a reasonable assessment thereof.
No action, suit or proceeding to recover for any claim arising out of or relating to this Agreement shall be brought
against Service Provider by Client unless (i) written notice of such claim was provided to Service Provider in the
manner and form set forth in this Paragraph 11, and (ii) such action, suit or proceeding is instituted within twelve
(12) months following the date of the occurrence giving rise to such claim. This Paragraph 1 0 shall survive the
termination of this Agreement.
Governing Law and Venue. This Agreement will be governed by and interpreted in accordance with the laws
of the State of California, without giving effect to the principles of conflicts of law of such state. The Parties
hereby agree that any action arising out of this Agreement will be brought solely in any state or federal court
located in California, Los Angeles County. Both Parties hereby submit to the exclusive jurisdiction and venue of
any such court.
Attorney’s Fees. If either Party incurs any legal fees associated with the enforcement of this Agreement or any
rights under this Agreement, the prevailing Party shall be entitled to recover its reasonable attorney’s fees and
any court, arbitration, mediation, or other litigation expenses from the other Party.
Collection Expenses. If Service Provider incurs any costs, expenses, or fees, including reasonable attorney’s fees
and professional collection services fees, in connection with the collection or payment of any amounts due it
under this Agreement, Client agrees to reimburse Service Provider for all such costs, expenses and fees.
Assignment. The Service Provider may subcontract its obligations and rights to a third -party.
Severability. If any provision or portion of this Agreement shall be rendered by applicable law or held by a court
of competent jurisdiction to be illegal, invalid, or unenforceable, the remaining provisions or portions shall remain
in full force and effect.
Headings; Construction. The headings/captions appearing in this Agreement have been inserted for the purposes
of convenience and ready reference, and do not purport to and shall not be deemed to define, limit or extend the
scope or intent of the provisions to which they appertain. This Agreement is the result of negotiations between
the Parties and their counsel. According ly, this Agreement shall not be construed more strongly against either
Party regardless of which Party is more responsible for its preparation, and any ambiguity that might exist herein
shall not be construed against the drafting Party.

Non-Competition. Client agrees that it will not, directly or indirectly, hire, employ or retain in a security or
security-related position, any employee of Service Provider assigned to Client’s job site while such employee is
employed by Service Provider and for a period of one (1) year after the termination of his or her employment
with Service Provider.
Rights Cumulative. The rights and remedies of the Parties herein provided shall be cumulative and not exclusive
of any rights or remedies provided by law or equity.
Counterparts. This Agreement may be executed in one or more counterparts, each of which will be deemed to
be an original, but all of which together will constitute one and the same instrument, without necessity of
production of the others. An executed signature page delivered via facsimile transmission or electronic signature
shall be deemed as effective as an original executed signature page.
Authorized Signatories. It is agreed and warranted by the Parties that the individuals singing this Agreement on
behalf of the respective Parties are authorized to execute such an agreement. No further proof of authorization
shall be required.
Notices. All notices or other communications required under this Agreement shall be in writing and shall be
deemed effective when received and made in writing by either (i) hand delivery, (ii) registered mail, (iii) certified
mail, return receipt requested, or (iv) overnight mail, addressed to the Party to be notified at the following address
or to such other address as such Party shall specify by like notice hereunder:

Waiver. No waiver of any term or right in this Agreement shall be effective unless in writing, signed by an
authorized representative of the waiving Party. The failure of either Party to enforce any pro vision of this
Agreement shall not be construed as a waiver or modification of such provision, or impairment of its right to
enforce such provision or any other provision of this Agreement thereafter.
No Adverse Construction. This document was mutually negotiated and drafted by the parties. No provision of
this Agreement shall be interpreted for, or against, a party because such party drafted or requested such provision.
Entire Agreement; Modification. This Agreement and any exhibits attached hereto, is the entire Agreement
between the Parties with respect to the subject matter hereof and supersedes any prior agreement or
communications between the Parties, whether written, oral, electronic or otherwise. No change, modification,
amendment, or addition of or to this Agreement or any part thereof shall be valid unless in writing and signed by
authorized representatives of the Parties. Each Party hereto has received independent legal advice regarding this
Agreement and their respective rights and obligations set forth herein. The Parties acknowledge and agree that
they are not relying upon any representations or statements made by the other Party or the other Party’s
employees, agents, representatives or attorneys regarding this Agreement, except to t he extent such
representations are expressly set forth in this Agreement.

SERVICE FEE
Year 2020 Unarmed and Armed Security Officer Rates:
Unarmed Security Guard Hourly Rate: $29.50/hour per officer
Holiday/Overtime Rates: $44.25/hour per officer
Armed Security Guard Hourly Rate: $35.00/hour per officer
Holiday/Overtime Rates: $52.50/hour per officer
Vehicle Unit Cost: +$3.50/hour
Notes:
1. The service rates will be valid until December 31st, 2020. Due to State of California
Minimum Wage increase, the service rates will be adjusted accordingly to stabilize the
manpower of the workforce.
2. Overtime rates will apply for newly requested assignment when less than 24 hours’
notice.
3. AIS applies Six (6) holidays: New Year’s Day, Memorial Day, Independence Day, Labor
Day, Thanksgiving Day and Christmas Day.
4. All rates are acknowledged to be fully burdened to include all direct cost, indirect cost,
overhead, profit, and shall remain fixed.
5. All rates include the frequent inspection and professional support visit by AIS field
supervisors or training managers using clearly marked security vehicle with company
logo.
