Attached for your information is a staff report that was presented to the City Council on
Monday, November 22, 1999. At that City Council meeting, the City Council approved
the attached agreement to allow the Parkers to have soils and geology investigation
work completed on the City owned property adjacent to 86 Saddleback Road, subject to
compliance with the insurance conditions.
As you recall, the Parkers may wish to proposed exchanging a 5,230 sq. ft. section of
their property for the City owned property in order to accommodate a revised
driveway to their newly remodeled residential structure.
We have also included a copy of the letter that was sent to the Parkers relating to this
subject. Should you wish to discuss this further, please do not hesitate to let me know.

BACKGROUND
At the regular City Council meeting held Monday, November 8, 1999, the City Council
considered a request from Bolton Engineering on behalf of Mr. and Mrs. David Parker,
86 Saddleback Road, to perform soils and geology investigation work oncity owned
property adjacent to 86 Saddleback Road. The purpose of this investigation work is to
determine whether or not the Parkers wish to propose a property exchange or property
purchase to the City of Rolling Hills and use the newly acquired land to reconfigure
their driveway to their property.
At the City Council meeting, staff was directed to work with the City Attorney and
prepare an appropriate license agreement for the City Council to consider. An
appropriate agreement is attached to this staff report and presented for consideration.
We have also attached a copy of the staff report that was presented to the City Council
on November 8, 1999.
RECOMMENDATION
It is recommended that members of the City Council consider the attached agreement
and provide appropriate direction to staff.

LICENSE AGREEMENT CONFERRING
PERMISSION TO ENTER PROPERTY
FOR THE PURPOSE OF CONDUCTING
SOILS AND GEOLOGY INVESTIGATION
1. PARTIES
This License Agreement (hereinafter referred to as
"License") is made by and between the City of Rolling Hills
(hereinafter referred to as "Licensor") and David and Arlene
Parker (hereinafter collectively referred to as "Licensee").
Licensor is the record owner of that certain real property in the
City of Rolling Hills described as set forth in Exhibit A
attached hereto (hereinafter referred to as "the property").
2. TEMPORARY LICENSE,
Licensor by this instrument grants to Licensee, and to
Licensee's agents, contractors and consultants, the temporary
right, privilege, and permission to enter the property for the
sole and exclusive purpose of conducting a soils and geology
investigation. The permission granted by this License extends
solely to excavation of a maximum of two trenches to bedrock
(approximately four to six feet in depth) in the location shown
on Exhibit A. The precise dimensions of the trench(es) shall be
subject to approval by the City Manager prior to excavation. The
trenches shall remain open no longer than 24 hours; if left
unattended during any portion of that period, the trenches shall
be covered and safely secured. No monetary consideration has
been or will be provided to Licensor for grant of this temporary
license.

3. INSURANCE
Licensee or its agent performing the work shall procure
and maintain in full force and effect the following policies of
insurance with reference to the work:
A. General liability insurance coverage in an amount
not less than one million dollars ($1,000,000) per occurrence for
bodily injury, personal injury and property damage, which policy
shall name Licensor, and its officers and employees, and the
Rolling Hills Community Association, and its officers and
employees, as additional insureds, and -which policy shall be
primary as regards Licensor and the Community Association.
B. Workers compensation insurance in compliance with
the California Labor Code.
4. INDEMNIFICATION
The investigation permitted pursuant to this License
shall be undertaken at Licensee's sole and exclusive risk and
expense. Licensee hereby releases and discharges Licensor and
its officers, employees and agents from any and all claims for
losses, injuries, damages or liabilities, including personal
injury and injury to personal property, arising out of or
attributable to or arising from the investigation conducted
hereunder and further, expressly releases Licensor and its
officers, employees and agents from and against any and all
claims or liability from their negligence or the condition of the
property.
Licensee shall indemnify, defend and hold harmless
Licensor, and its officers, employees and agents ("Licensor

indemnitees"), from and against any and all causes of action,
claims, liabilities, obligations, judgments or damages, including
reasonable attorneys fees and costs of litigation ("claims"),
arising from Licensee's (and its agent's, consultant's and
contractor's) acts, errors or omissions in the performance 'of the
investigation contemplated and permitted by this License. In the
event the Licensor indemnitees are made a party to any action,
lawsuit or other adverserial proceeding arising from Licensee's
(or its agents, consultant's or contractor's) conduct:
a. Licensee shall provide a•defense to the Licensor
indemnitees or at Licensor's option reimburse the Licensor
indemnitees their costs of defense, including reasonable
attorneys fees, incurred in defense of such claims; and
b. Licensee shall promptly pay any final judgment or
portion thereof rendered against the Licensor indemnitees with
respect to claims determined by a trier of fact to have been the
result of Licensee's conduct.
5. TERMINATION
The temporary• license created by this License Agreement
shall terminate automatically on December 31, 1999 or upon
completion of Licensee's work, whichever occurs first.
6. RESTORATION OF PROPERTY
At the conclusion of the investigation to be undertaken
pursuant to this License, or at the termination of this Agreement
as provided above, Licensee shall, at its own expense, restore
the property to a condition substantially identical to that

existing before the investigation began, including but not
limited to replacement of any disturbed landscaping.
7. INVESTIGATION RESULTS
Within thirty (30) days following the conclusion of the
investigation to be undertaken pursuant to this License, Licensee
and/or its consultants shall provide to Licensor a written
statement of the test results.
8. ENTIRE AGREEMENT
This License constitutes the entire agreement of the
parties with respect to this matter. Nothing contained herein
shall be construed to constitute an agreement to sell or transfer
the property, and nothing contained herein shall be.construed as
granting to Licensee any right, title or interest in the
property.

BACKGROUND
Attached to this staff report is correspondence from Ross N. Bolton of Bolton
Engineering, requesting that the City permit Bolton Engineering to perform soilsand
geology investigation on a portion of the city owned property located adjacent to 86
Saddleback Road. This property is currently owned by the City of Rolling Hills and is
leased to the Community Association. Portions of this property are improved with a
riding ring and Native Plant Demonstration Garden. The area proposed for this study
is depicted in the attached correspondence does not impact those facilities.
Mr. Bolton is proposing to excavate one or two trenches down to bedrock
approximately four to six feet deep. The purpose of the excavation is to determine
whether they wish to proceed with proposing to acquire this property from the City of
Rolling Hills. An equal square footage property exchange of 5,230 square feet has been
proposed. However, the property owner at 86 Saddleback Road, Mr. David Parker,
wants to determine the geological integrity of this property prior to considering
proposing a property exchange because he is considering utilizing that newly acquired
property for construction of a more gently sloping driveway than the one that currently
provides access to his property.
RECOMMENDATION
It is recommended that members of the City Council consider this request. If the City is
desirous of approving this request, staff will work with the City Attorney's office to
prepare a license agreement which would require that the property be returned to
natural state following geological investigation and that there is no implied agreement
to transfer ownership of this property or sell this property by permitting this geological
investigative work.

On behalf of the owner of #86 Saddleback Road, we request the City allows us to
perform a soils and geology investigation on the portion of the City property located
adjacent to this property as shown on the attached sketch.
The soils and geology investigation will be performed under the direction of Tony Lee,
a professional engineer. The investigation will require excavating one or two trenches
down to bedrock about 4 to 6 feet deep.
The driveway for this property is being studied to allow realignment to reduce the
existing driveway steepness. The realignment that is being considered includes
placing a portion of the driveway on the adjacent City lot, Hesse's Gap Lot. To assure
that this is a reasonable alternative, we need a soils and geology investigation of this
area.
Enclosed is an 81/2" by 11" sheet that shows the lot line adjustment that is being
considered with the City. The lot line adjustment is an exchange of 5230 square feet
for 5230 square feet.
Also enclosed is a 1" = 20' drawing that shows the realigned driveway and lot line
adjustments with the two adjacent neighbors. We are negotiating with these neighbors
to obtain their permission for this driveway realignment.

return the document to us for execution by the City with the proper Insurance
Certificates as outlined in Section 3 (A) and (B) and Section 4. Once the certificates have
been submitted to the City and you have submitted the executed agreement, we will
return a fully executed copy to you.
Please remember that appropriate City, County and perhaps Community Association
approvals may be required in addition to the above agreement prior to the
commencement of any geology investigation work.

that should be included in the license agreement include:

The attached staff report was considered by the City Council on November 8t''. At the
meeting, the City Council directed staff to prepare an appropriate agreement which, if
adopted, would permit the Parkers, 86 Saddleback Road, to have a geologist conduct
minor trenching on the triangle of property indicated on the attached plan.
The purpose of this trenching is to determine the land stability. The Parkers intent is to
ultimately propose that the City trade the 5,230 sq. ft. triangle located in the front of the
Parkers property with the two smaller triangles of property totaling the same square
footage at the rear of the Parkers' lot. Their ultimate goal is to use the land area to
create a new driveway to their newly remodeled residential structure.
The property in question is the City owned parcel which includes the equestrian riding
ring and the Native Plant Demonstration Garden that is leased to the RHCA. Upon
inspection of these portions of this lot that are subject to this proposal, it did not appear
that any portions of the City lot that are used for equestrian purposes are involved with
this proposal.

Engineering, requesting that the City permit Bolton Engineering to perform soils and
geology investigation on a portion of the city owned property located adjacent to 86
Saddleback Road. This property is currently owned by the City of Rolling Hills and is
leased to the Community Association. Portions of this property are improved with a
riding ring and Native Plant Demonstration Garden. The area proposed for this study
is depicted in the attached correspondence does not impact those facilities.
Mr. Bolton is proposing to excavate one or two trenches down to bedrock
approximately four to six feet deep. The purpose of the excavation is to determine
whether they wish to proceed with proposing to acquire this property from the City of
Rolling Hills. An equal square footage property exchange of 5,230 square feet has been
proposed. However, the property owner at 86 Saddleback Road, Mr. David Parker,
wants to determine the geological integrity of this property prior to considering
proposing a property exchange because he is considering utilizing that newly acquired
property for construction of a more gently sloping driveway than the one that currently
provides access to his property.
RECOMMENDATION
It is recommended that members of the City Council consider this request. If the City is
desirous of approving this request, staff will work with the City Attorney's office to
prepare a license agreement which would require that the property be returned to
natural state following geological investigation and that there is no implied agreement
to transfer ownership of this property or sell this property by permitting this geological
investigative work.

area.
Enclosed is an 8 1/2" by 11" sheet that shows the lot line adjustment that is being
considered with the City. The lot line adjustment is an exchange of 5230 square feet
for 5230 square feet.
Also enclosed is a 1" = 20' drawing that shows the realigned driveway and lot line
adjustments with the two adjacent neighbors. We are negotiating with these neighbors
to obtain their permission for this driveway realignment.
